Emily is an experienced corporate lawyer with a focus on private capital and particular expertise in the financial services and education sectors. Emily works with private companies, their shareholders, investors and other stakeholders on landmark transactions including acquisitions, disposals, investments and reorganisations.

Listed by Legal 500 as a Key Lawyer for M&A Deals in the £10 to £100m bracket, Emily has extensive experience working with clients on landmark transactions both on the sell- and buy-side. She enjoys working closely with clients to understand their businesses, their key drivers and where she can most add value. Emily ensures the transaction process runs as smoothly as possible from start to finish, and clients appreciate her pragmatism, organisation and efficiency.

Emily advises on private company M&A (buy- and sell-side), investments and reorganisations, as well as providing corporate governance advice to private businesses and their directors. Recent examples include advising a US buyer on its proposed acquisition of a multi-jurisdictional business owned and operated out of the UK and working with a UK venture capital firm on its acquisition of a portfolio of fast-growing technology companies. Emily has particular expertise advising family-owned businesses and their unique commercial and personal dynamics. She has advised on matters of structuring and governance as well as the transition of ownership and control to the next generation.

Financial Institutions

Emily has particular expertise and experience in the financial services sector. She works closely with our financial services team on M&A and investments in the regulated sector, as well as other corporate transactions involving regulated businesses. Recent experience includes advising a European-headquartered bank on the proposed acquisition of a specialist fintech group, advising the shareholders of a full-service host ACD and fund administration service provider on its sale to an international buyer and advising the members of a large wealth management firm on all aspects of the sale of their business to a plc-owned trade buyer.

Education

Emily has many years of experience advising on acquisitions and disposals involving independent schools. She has extensive knowledge of the education sector and its particular challenges and opportunities and works closely with colleagues to draw on the firm’s unique understanding of schools and universities to ensure transactions run smoothly. Recent experience include advising an international buyer on its acquisition of a UK boarding school, and advising a schools group on the disposal of one of its schools to another major UK group.
